Michael was called to the Bar as a member of the Law Society of Ontario in 2014 and now practices in the firm’s Corporate and Real Estate & Development Law Groups. He is a corporate generalist who is equally at ease with reviewing commercial contracts, business plans and tax planning documentation. He focuses his practice on corporate structuring/restructuring, reorganizations, effecting tax planning objectives and small to mid-size mergers and acquisitions as well as residential and commercial real estate purchases and sales. Michael has also acted for several private and institutional lenders and borrowers placing and discharging both residential and commercial mortgages as well as assisting with secured lending for businesses including real estate and personal property based secured transactions.
His practice in Corporate Law includes all aspects of incorporating and maintaining a corporation in Ontario including preparing forward-thinking share structures and any agreements necessary to ensure smooth operation of the corporation moving forward. These matters include the drafting and review of shareholder agreements, partnership agreements, joint venture agreements, option agreements, employment agreements, service agreements and a variety of other corporate and commercial agreements and documents. Michael routinely co-ordinates with accounting and tax planning professionals in order to ensure the timely and effective implementation of tax planning and other cost-saving objectives in a cost-effective and efficient manner. He is also an experienced business advisor with expertise in handling corporate governance issues, operational issues, succession planning and risk management/mitigation.
Michael maintains a smaller practice in the areas of Wills and Estates Law catered to assisting individuals and small business owners plan for the future.
He is an avid reader and technology enthusiast who also enjoys participating in outdoor activities and challenges such as the Tough Mudder obstacle course.
